Contracts, Transactions & Negotiation Lead the negotiation, drafting and review of complex commercial, aircraft and corporate agreements (including aircraft leases and financings, OEM, MRO and ground-handling contracts, codeshare / interline, GSA and supplier agreements). Act as a senior point of contact for the Group s negotiating teams on key transactions. Disputes & Litigation Manage litigation, arbitration and other disputes including aviation claims involving manufacturers, lessors, insurers and suppliers instruct and supervise external counsel, and maintain oversight of the Group s litigation and disputes register. Business Plan Support business-plan execution with Legal in a supporting role. Advise on joint ventures, codeshare / interline and other strategic commercial partnerships. Governance & Compliance Support corporate governance and the Group compliance framework, under the General Counsel and Corporate Secretary. External Counsel & Legal Operations Operate within the external legal panel and manage external legal spend against budget engagement, scoping, fee arrangements and performance review. <p><span><span><strong>Project Context and Scope: </strong>The consultant will contribute to the training and capacity building needs of the project entitled “Supporting Regional Centre of Excellence for Combatting Trafficking in Persons in the Kingdom of Bahrain Phase II” (RCTIP II/<strong>2)</strong></span><i><span>. </span></i></span><span><span>The objective of this project is to support the efforts of the Government of Bahrain to combat trafficking in persons (TiP) and strengthen technical capacity and regional cooperation in the Middle East and North Africa, in alignment with international standards. </span></span><span><span>The Kingdom also inaugurated a Regional Centre of Excellence and Capacity Building for Combatting Trafficking in Persons (now called RCTiP) in 2021. The International Organization for Migration (IOM) and Labour Market Regulatory Authority (LMRA) have been the lead implementers of this project. Training curriculum and Standard Operating Procedures (SOPs) have been developed for key target groups to enhance identification and referral procedures for VoTs and PVoTs. While these efforts have successfully increased knowledge and awareness of counter trafficking mechanisms in the Kingdom, the RCTiP has potential to grow, both nationally and regionally. </span></span></p><br><p><span><span>The Phase 2 project is based on two strategic pillars: 1) the expansion of existing training materials to reach a wider audience of practitioners (including through digital channels); and 2) the strengthening of Bahrain’s role as a regional leader on combating TiP. Both of these pillars are guided by IOM’s Counter-Trafficking Theory of Change, with activities that reflect the following intervention models: Capacity-development for service provision and protection; Referral system strengthening; Law and policy development; and Research and data collection/management. · Draft, review, and amend a wide range of contracts including vendor agreements, sponsorship contracts, artist/performer agreements, supplier contracts, and service-level agreements.
· Ensure all contracts comply with Bahraini laws and internal policies.
· Maintain an organized and up-to-date contract database.
· Support the Legal Counsel in providing clear, timely advice to internal departments (Operations, Events, Finance, HR, Marketing).
· Conduct legal research and prepare summaries, briefs, and risk assessments on relevant matters.
· Assist with compliance reviews for new initiatives, partnerships, and event concepts.
