Legal Counsel

The Legal Counsel will provide comprehensive legal support to the company, advising on a broad range of matters including corporate, commercial, compliance, and regulatory issues. This role involves drafting and reviewing legal documents, providing strategic legal advice, and ensuring compliance with applicable laws and regulations. The ideal candidate will have strong analytical skills, attention to detail, and the ability to work effectively in a fast-paced environment.


Key Responsibilities:
Legal Advisory and Support:
  • Provide expert legal advice and guidance on various matters, including corporate governance, commercial transactions, employment law, and regulatory compliance.
  • Interpret and ensure compliance with relevant laws, regulations, and industry standards.
  • Advise senior management on potential legal risks and strategic decisions, helping to navigate complex legal challenges.
  • Research and stay informed on changes in laws and regulations that may impact the company’s operations.
Contract Management:
  • Draft, review, and negotiate a wide range of contracts and agreements, including NDAs, vendor agreements, service contracts, and partnership agreements.
  • Ensure all contracts comply with applicable laws and company policies, minimizing potential risks and liabilities.
  • Maintain an organized system for managing and tracking contracts, ensuring timely renewals and compliance with contractual obligations.
Compliance and Risk Management:
  • Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.
  • Conduct internal audits and assessments to identify potential compliance issues and recommend corrective actions.
  • Support the company in managing and mitigating legal risks, including those related to intellectual property, data privacy, and employment practices.
  • Assist in the development and delivery of training programs on legal and compliance matters for employees.
Dispute Resolution and Litigation:
  • Manage and oversee any litigation or dispute resolution matters, including coordinating with external counsel as necessary.
  • Represent the company in negotiations, mediations, or other forms of dispute resolution.
  • Assist in responding to legal claims, regulatory inquiries, and government investigations.
Corporate Governance:
  • Assist with corporate governance matters, including preparing board resolutions, minutes, and other corporate documentation.
  • Ensure compliance with corporate policies, procedures, and best practices.
  • Support the preparation and filing of required regulatory documents and reports.
Qualifications and Skills:
  • Minimum of 5 years of experience in a corporate legal environment, preferably in-house.
  • Strong knowledge of corporate and commercial law, contract law, and regulatory compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and provide practical, business-oriented legal advice.
  • Strong analytical and problem-solving skills, with attention to detail.
  • High ethical standards and the ability to handle sensitive and confidential information.
  • Experience with intellectual property, data privacy, or employment law is a plus.
