Position Overview:
Provides legal support to Bapco Energies’ business entities, ensuring compliance with governance frameworks and managing legal risks. Responsibilities include drafting/reviewing contracts, preparing legal memos, handling claims and litigation, and maintaining governance documentation under the guidance of the Group SVP BE Entities.
Delivers accurate legal advice on operational matters across all Strategic Business Units (SBUs), including Bapco Refining, Upstream, Gas, Gas Expansion, Tazweed, BE Ventures, and their subsidiaries.
Key Responsibilities:
Legal Advisory for Strategic Decisions
Provide timely and accurate legal advice to departments and management to support strategic decisions and prevent disputes across jurisdictions.
Stakeholder Coordination
Manage relationships and workflows with internal stakeholders, especially Procurement, to oversee contracting and procurement activities.
Risk Management & Claims Negotiation
Implement legal strategies and negotiate complex claims with third parties to mitigate risks, with guidance from the Group SVP when needed.
High-Value Contract Oversight
Lead the drafting, review, and negotiation of major contracts, ensuring legal compliance and risk management under internal policies and laws.
Legal Document Review
Oversee the preparation and review of legal correspondence and documentation to ensure compliance with laws and internal standards.
Agreement Negotiation & Risk Analysis
Manage the negotiation and review of various legal agreements, analyzing risk profiles to protect the company’s interests.
Government Correspondence Management
Ensure timely drafting and review of communications with the Bahrain Tender Board and other authorities to avoid operational delays.
Company Formation & Compliance Support
Assist with formations, restructurings, and governance for SBUs and subsidiaries, including legal documentation and regulatory coordination.
Contractual Solutions & Settlements
Develop and negotiate contracts and settlements to resolve legal matters in the company’s best interest.
External Counsel Coordination
Work with external legal advisors to manage disputes, obtain opinions, and support strategic legal planning under SVP guidance.
Legal Research & Training
Conduct legal research, monitor law changes, and provide training and briefings to enhance legal knowledge and compliance.
Legal Templates & Risk Mitigation
Maintain and update standard legal documents and templates, advising on risk management and liability reduction.
Policy & Procedure Review
Review and develop internal policies and procedures, preparing new documents where gaps exist.
Process Compliance & Improvement
Monitor internal processes for legal compliance and propose enhancements to improve efficiency and adherence.
Task Prioritization & Review
Ensure timely task allocation and prioritization of critical matters to support uninterrupted operations.
Corporate Governance & Records
Advise on governance matters and manage legal operations, including organized record-keeping and tracking of pending issues.
Team Supervision & Development
Supervise Legal Associates, provide mentoring and training, and participate in internal committees to support professional growth.
Legal Department Support & KPI Development
Assist the Legal Department with governance reporting, prepare documentation for senior management, and propose suitable KPIs for the function.
Qualifications:
Bachelor’s degree in law, or related field
Minimum of 5+ years of experience in corporate and commercial law, which include governance, or supporting role in management of legal department with a law firm or a in-house legal department with a company with international clients/customers.
Experience in an Oil and Gas Company in a legal capacity or in a law firm handling Oil and Gas work is preferred.
Experience handling legal issues in the fields of corporate, commercial, construction, procurement, HR, contracts, litigation, dispute resolution, real estate, engineering disputes, copyrights & patents, and/or other legal areas
UK qualified or equivalent in Bahrain, US or other jurisdictions
Excellent command of written and spoken English. Working knowledge of Arabic preferred.
