Job Purpose:

  • To provide legal advice to the company and the Group.
  • To assist the company and the Group in making informed risk-based decisions.
  • To increase the company and the Group’s awareness of legal, regulatory and compliance risks.
  • To protect the firm’s reputation and interests in financial markets.
  • To assist the company and the Group’s in achieving its investment objectives in compliance with applicable laws.


Key Responsibilities:

  • Taking charge of all contract review requests and coordinating with the Group and the company to process contract reviews efficiently and effectively, ensuring the company and the Group’s interests are protected across all contracts.
  • Supporting the legal aspects of investment evaluation, due diligence, and closing processes to mitigate risks and protect the firm’s interests.
  • Providing legal counsel on M&A transactions.
  • Drafting, reviewing, and negotiating transactional documents such as share purchase agreements, asset purchase agreements, and merger agreements with Group (AZAQ) Legal and external counsels.
  • Reviewing and negotiating investments documents including but not limited to partnership agreement and subscription agreement.
  • Drafting and negotiating term sheets, letter of intent, side letters, non-disclosure agreement, shareholder agreements, and partnership agreements with Group (AZAQ) Legal and external counsels.
  • Identifying and assessing legal risks associated with investment transactions and corporate activities.
  • Staying informed on industry trends and best practices to provide proactive legal guidance.
  • Performing additional legal tasks or special projects assigned by leadership, particularly in response to emerging priorities or urgent matters.
  • Where applicable, report to Group (AZAQ) legal all of the matters listed above.


Qualifications:

Bachelor’s degree in law

2-6 years of relevant experience in private practice or in-house counsel.
